General Terms and Conditions of Sale

(Applicable to B2C and standard B2B e-commerce transactions)

Article 1 - Definitions

  • Cooling-off period: the period during which the customer can exercise their right of withdrawal;

  • LEIPOLE: LEIPOLE Ltd., trading under the name LEIPOLE, and provider of products and/or services at a distance.

  • Customer: the natural person or legal entity entering into an agreement with LEIPOLE. If, upon or after the conclusion of the agreement, it appears that the products or services are being used for purposes that fall within a business or professional activity, LEIPOLE applies these terms as a general commercial agreement, unless specific B2B terms have been separately agreed upon in writing.

  • Day: calendar day;

  • Continuing performance contract: a distance contract relating to a series of products and/or services, the delivery and/or purchase obligation of which is spread over time;

  • Right of withdrawal: the possibility for the customer to withdraw from the distance contract within the cooling-off period;

  • Distance contract: a contract whereby, within the framework of a system organized by LEIPOLE for the distance sale of products and/or services (such as our online store), up to and including the conclusion of the contract, exclusive use is made of one or more means of distance communication;

  • Means of distance communication: any means that can be used to conclude an agreement without the customer and LEIPOLE being together in the same room at the same time.

Article 3 - Applicability

  1. These general terms and conditions apply to every offer made by LEIPOLE and to every distance contract concluded between LEIPOLE and the customer. Deviations from these terms and conditions are expressly rejected, unless they have been expressly confirmed in writing by LEIPOLE.

  2. Before the distance contract is concluded, the text of these general terms and conditions will be made available to the customer by electronic means.

  3. If LEIPOLE does not demand strict compliance with these general terms and conditions for a short or longer period of time, this does not affect LEIPOLE's right to demand immediate and strict compliance at a later date.

  4. All intellectual property rights of any nature whatsoever, including but not limited to products, services, advice, documents, materials, designs, sketches, and quotations, are vested in LEIPOLE and may therefore not be reproduced in any form without the express written consent of LEIPOLE.

Article 4 - The offer

  1. If an offer is made subject to additional conditions, this will be expressly stated in the offer.

  2. Offers or quotations are valid while stocks last.

  3. If offers or quotations do not specify the period of validity, they shall be valid for no longer than 7 days.

  4. LEIPOLE will endeavor to describe the products and/or services offered in a complete and clear manner. LEIPOLE is not bound by any errors or omissions in the offer.

  5. The customer is fully responsible for choosing a product for the intended application and for the correct use of products (e.g., matching the correct terminal block model or heater specification for their enclosure).

  6. Each offer contains such information that it is clear to the customer what rights and obligations are attached to the acceptance of the offer, including pricing, delivery costs, payment methods, and withdrawal rights.

Article 5 - The agreement

  1. The agreement is concluded at the moment the customer accepts the offer and meets the conditions set out therein. If this is not a distance agreement, the agreement is only concluded when LEIPOLE has confirmed the customer's acceptance.

  2. If the customer has accepted the offer electronically, LEIPOLE will confirm receipt of the acceptance of the offer electronically.

  3. If the agreement is concluded electronically, LEIPOLE will take appropriate technical and organizational measures to secure the electronic transfer of data and ensure a secure web environment.

  4. Products remain the property of LEIPOLE until payment has been made in full by the customer.

  5. If advance payment has been agreed, LEIPOLE is entitled to terminate the agreement as long as payment has not yet been made.

  6. LEIPOLE is entitled, without stating reasons, not to enter into the contract or to attach special conditions to its execution if there are concerns regarding the customer's ability to fulfill payment obligations.

Article 6 - Right of withdrawal

  1. For the delivery of products: The right of withdrawal is only valid in the case of a distance contract. LEIPOLE clearly states which products are not subject to the right of withdrawal. When purchasing eligible products, the customer has the option to terminate the agreement without giving reasons within 30 days. This cooling-off period commences on the day of delivery of the product to the customer or a designated third party.

  2. For the delivery of services: In the case of the provision of services, the customer has the option to terminate the agreement without giving reasons within 30 days, starting on the day on which the agreement was concluded.

Article 7 - Obligations of the customer during the cooling-off period

  1. During the cooling-off period, the customer shall handle the product and packaging with care. The product may only be unpacked to the extent necessary to determine its nature, characteristics, and functioning. For safety and electrical integrity reasons, items such as PTC heaters, fans, or terminal blocks may not be installed, wired, or powered on if they are to be returned under this right. The product and accompanying documentation must not be damaged or contaminated.

  2. The customer is liable for any reduction in the value of the product resulting from handling it in a manner that goes beyond what is permitted in paragraph 1.

Article 8 - Exercise of the right of withdrawal and costs

  1. If the customer exercises their right of withdrawal, they must notify LEIPOLE within the cooling-off period.

  2. The product must be returned to LEIPOLE within 14 days of the day following the notification.

  3. The customer shall return the product with all accessories supplied, in its original condition and packaging, and in accordance with LEIPOLE's instructions.

  4. The customer shall bear the direct costs of returning the product.

Article 9 - LEIPOLE's obligations in the event of withdrawal

  1. LEIPOLE shall send a confirmation of receipt upon receiving the withdrawal notification.

  2. LEIPOLE shall reimburse the payments made by the customer for the returned product (deducting any applicable payment or delivery costs if explicitly stated). Refunds are processed within 14 days of receiving the returned product.

Article 10 - Exclusion of right of withdrawal LEIPOLE may exclude the following from the right of withdrawal:

  1. Products manufactured to the customer's specifications, customized electrical solutions, or items ordered specifically at the customer's request.

  2. Products whose original factory seal or anti-static packaging has been broken, rendering them unsellable due to safety and quality assurance standards in electrical components.

  3. B2B volume orders that have been specially discounted and fulfilled.

Article 11 - The price

  1. The prices listed on the websites may be changed by LEIPOLE at any time. During the stated validity period of an offer, prices will not be increased except due to changes in statutory VAT/tax rates.

  2. The prices quoted indicate whether they include or exclude applicable taxes.

  3. For customers outside Singapore, prices are exclusive of any applicable local taxes, import duties, customs charges, and other local levies. The customer expressly acknowledges that these costs are entirely at their own expense and that they are responsible for complying with local import regulations.

Article 12 - Conformity and Warranty

  1. LEIPOLE respects mandatory legal warranty rights where applicable. Products are also covered by LEIPOLE's voluntary limited warranty when clearly stated for a specific product or product line.

  2. LEIPOLE guarantees that, within the warranty period, the product is free from material and manufacturing defects under normal use, provided that the installation, wiring, and maintenance instructions have been strictly followed.

  3. Exclusions: The warranty does not cover: wear and tear, corrosion, or aging resulting from normal use; damage resulting from incorrect and/or improper use, including but not limited to improper wiring, short circuits, application of incorrect voltage, exceeding the rated IP protection class, operating outside the specified temperature range, or overheating due to inadequate ventilation/clearance space within the enclosure; damage caused by external causes such as fire, water, dropping, neglect, or modifications not authorized by LEIPOLE.

  4. Intensive or continuous operation beyond the product's rated duty cycle may result in earlier end-of-life without constituting a defect. Customers are responsible for selecting the correct product models (e.g., proper terminal block pitch or heater wattage) appropriate for their specific enclosure application.

  5. In the event of a valid warranty claim, LEIPOLE may, at its discretion, repair or replace the defective product, or offer a refund.

  6. For customers outside Singapore, LEIPOLE sells its products "AS IS" and "WITH ALL FAULTS," unless expressly agreed otherwise. To the maximum extent permitted by applicable law, LEIPOLE excludes all implied warranties of merchantability and fitness for a particular purpose.

  7. Customers expressly acknowledge that they are fully responsible for checking and ensuring that the use and/or application of the electrical products comply with local electrical codes, safety standards, and certification requirements in their country of use. LEIPOLE shall not be liable for any direct, indirect, consequential damage, or loss of profit arising from non-compliance with such local regulations or from the failure of an electrical system.

Article 13 - Delivery and performance

  1. The place of delivery shall be the address provided by the customer. LEIPOLE is not responsible for extended delivery times or costs caused by incorrect address information.

  2. LEIPOLE will execute accepted orders with due speed, standardly within 30 days unless a longer delivery period has been agreed.

  3. The risk of damage and/or loss of products rests with LEIPOLE until the product is handed over to the carrier or the customer.

  4. LEIPOLE reserves the right to cancel orders to comply with applicable legislation or international sanctions regimes.

Article 14 - Long-term transactions: duration, termination, and renewal (Standard provisions apply for ongoing supply contracts, requiring reasonable notice periods as defined in specific B2B agreements or standard 30-day notice for consumer subscriptions).

Article 15 - Payment

  1. Unless otherwise agreed, amounts owed must be paid within 14 days after LEIPOLE has confirmed the agreement. For online store purchases, payment is typically required at checkout.

  2. In the event of non-payment, LEIPOLE is entitled to charge reasonable collection costs.

Article 16 - Complaints procedure

  1. Complaints about the execution of the agreement must be submitted to LEIPOLE fully and clearly described within a reasonable time after discovering the defects.

  2. Complaints will be answered within a period of 14 days from the date of receipt.

Article 17 - Disputes

  1. Agreements between LEIPOLE and the customer to which these general terms and conditions apply are governed exclusively by the laws of Singapore.

  2. The parties expressly agree that the competent courts of Singapore shall have exclusive jurisdiction over any disputes arising out of or in connection with this agreement. The customer expressly waives any right to submit disputes to a court outside Singapore, and waives the right to jury trials or class actions.

  3. If any provision of these terms is found to be invalid under applicable law, the remaining provisions shall remain in full force and effect.

Article 18 - Additional or deviating provisions

  1. Any additional provisions or provisions deviating from these general terms must be laid down in writing.

  2. In the event of translation of these terms and conditions into other languages, the English version shall prevail.

Article 19 - Amendment of the General Terms and Conditions LEIPOLE reserves the right to amend these general terms and conditions at any time. Returning customers should review the terms when entering into a new agreement. These General Terms and Conditions replace all previous versions.

For international shipments, all import duties, taxes, and customs fees are the responsibility of the buyer. Please ensure you have the necessary import licenses or tax IDs required by your local customs.
